Overview
Funding for start-up’s has not been what it used to be. What are the funding options and strategies for start-up’s in such an environment?
We will introduce the Venture Capital Investment Model Agreements (VIMA) suite of documents.
VIMA is a suite of model contracts available, without charge, to help start-ups in their earlier rounds of fundraising. Launched by the Singapore Academy of Law and the Singapore Venture & Private Capital Association, the documents support the Singapore Government’s endeavours to boost Singapore’s appeal as a regional hub for start-up’s and venture capital investments. VIMA agreements aim to set out solutions to address common problems faced by entrepreneurs in similar situations.
In this talk, we will take a closer look at selected transactions and how they might play out in the context of the VIMA suite of documents.
We will explore:
The types of transactions we might expect;
How these might need to be more creatively structured;
The infrastructure in the VIMA shareholders’ agreements that might be relevant to such transactions;
The interaction with other restructuring mechanisms

Faith also established an in-house legal department as the first General Counsel of a pharmaceutical operation.

Kelvin is a corporate and commercial lawyer, working with fsLAW since September 2016. Jonathan is a corporate & commercial lawyer, he has assisted clients on: - Corporate transactions including fundraising through venture capital seed funding, reviewing shareholder agreements, customising constitutions, drafting legal opinions, finalising corporate documents such as resolutions, advising on selected issues such as tag-along and pre-emptive rights; - Corporate restructuring including share buybacks and a corporate restructuring exercise; - Commercial agreements including terms & conditions for a music event, cross-border distribution agreements, non-disclosure agreements and assignments of intellectual property rights; - Employment agreements, employee share option plans and employment law issues in general; and - Anti-bribery and anti-money laundering policies and KYC issues.
